Braas Monier further strengthens industry experience in its Board of Directors

With the election of Emmanuelle Picard and Christopher Davies as Non-Executive Directors of Braas Monier Building Group S.A. at today's Annual General Meeting, Braas Monier further strengthens the industry experience in its Board of Directors.
'Ms Picard and Mr Davies have both shown remarkable achievements in the European Building Materials Industry. Their valuable operating experience enables Braas Monier to further advance its successful strategy of sustainable growth above markets and its strong focus on customer centricity', says Pierre-Marie De Leener, CEO and Chairman of the Board of Directors of Braas Monier Building Group.
With effect from today, Torsten Murke (BNP Paribas) resigned from his mandate as Non-Executive Director of Braas Monier Building Group S.A. on his own accord. The Board of Directors of Braas Monier Building Group S.A. now comprises nine members.
All items on the agenda of today's Annual General Meeting of Braas Monier Building Group S.A. were agreed with a substantial majority. The resolutions of the agenda were passed with the following voting results:

  • Approval of the stand-alone annual accounts of the Company for the financial year ended on 31 December 2015: 100.00%
  • Approval of the consolidated financial statements of the Company for the financial year ended on 31 December 2015: 100.00%
  • Allocation of results and determination of the dividend payment in relation to the financial year ended on 31 December 2015: 100.00%
  • Discharge to all the Directors of the Company who were in office during the financial year ended on 31 December 2015: 100.00%
  • Election of members of the Board of Directors.
              a. Christopher Davies: 95.48%
              b. Emmanuelle Picard: 98.16%
  • Remuneration of members of the Board of Directors: 100.00%
  • Appointment of an independent auditor of the Company (réviseur d'entreprises agrée) for the purposes of the stand-alone annual accounts and the consolidated financial statements of the Company for the financial year ending on 31 December 2016: 100.00%

About Emmanuelle Picard
Emmanuelle Picard serves as General Manager for the Industrial Fabrics Europe at Adfors, a subsidiary of Saint-Gobain with operations in Spain, Netherlands, the Czech Republic and Poland. She has been working for Saint-Gobain since 2003, starting her career in the construction products industry as strategic planning manager for the Group. From 2006 to 2008, she worked as Director of Strategy for Saint-Gobain Textile Solutions and as BU manager for Grinding Wheels, a business unit with worldwide sales and production sites in Spain and China. Prior to her current position, she was Global Product Director for gypsum ceilings and steel solutions at Saint-Gobain Gypsum and as such responsible for the strategy, marketing and coordination for the business in 30 countries. She graduated from École Polytechnique, France, in 1997 and holds an M.S. in Industrial Engineering and Engineering Management from Stanford University Palo Alto, USA.
About Christopher Davies
Christopher Davies was employed at SIG plc from 1994 to 2013, serving for the last 5 years as Group CEO. Previously he held several senior management positions at SIG, including that of Managing Director of its European Division from 2002 to 2008. During the period 1996 to 2008, he was chairman and member of various SIG subsidiary operating boards in Germany, Poland, Benelux and France. Prior to joining SIG plc, Mr. Davies was a Regional Director at a UK subsidiary of Thyssen AG and worked as an Export Manager at BOC plc (British Oxygen) and at British Steel Corporation. He is currently a Non-Executive Director and Chairman of the Remuneration Committee on the Board of Safestyle UK plc, and through his own consultancy company, Frodingham Management Services Ltd, undertakes a variety of assignments including M&A advisory for private equity houses. Mr. Davies holds a BA Honours degree in Modern languages from Oxford University, UK.
